Lasko and Controlled Companies Bidding to Take Over Delo

Beverage group Pivovarna Lasko, along with controlled companies Radenska and Talis, on Monday, 2 April published a bid to acquire all of newspaper publisher Delo at EUR 135.50 per share. Given that the companies already hold just over 44% of Delo, the purchase of the remaining share would cost a total of EUR 50.5m.

The bid, which is open until 3 May, is made out for all 372,726 Delo shares which are not yet owned by the bidders, according to the offer posted on the Ljubljana Stock Exchange.

The three companies have agreed that all of the shares acquired will go to Pivovarna Lasko, which will also fund the acquisition. However, the companies leave it open for the target shares to be transferred to other affiliated companies in the future.

According to the bidders, the acquisition is aimed at consolidating the target company.

Disruptors Welcome

In the olden days--before 2005--eBay (NASDAQ:EBAY) was ambivalent about independent developers who ginned up applications to help buyers and sellers navigate its online auctions. In fact, it actually charged those developers fees, up to hundreds of thousands of dollars a year, based on the number of people who used the programs.

Mums and dads ditch shares, squeezing children out of property

YOU can accuse real estate agents of many things in this market. They're scheming, exaggerating, guessing and grasping — what else is new? But they're not "underquoting".

With residential property prices suddenly flying up, it's hardly surprising that consumer groups are accusing our friends in the black suits of purposely misleading us on prices. Worse, agents are accused of flouting Victoria's Estate Agent and Fair Trading Act that bans underquoting.

Things are getting strange when you find yourself defending real estate agents — but I've watched a string of inner-city auctions during the past few weekends and nobody could have guessed how strong prices have become. Real estate agents stand accused of underquoting because most properties are selling at least 10 per cent higher than estimated — and many as high as 40 per cent more than estimated, according to an Age survey.
